This includes advising on and ensuring that corporate governance arrangements are adequate, appropriate and compliant. It also includes the management of relevant legal entity filings and returns with the appropriate regulatory authorities as required. This will involve providing technical advice and support to the Global Corporate Governance Manager and FM management on questions of company formation, management, closure or re-organization, and on corporate governance issues. Specifically, the role will serve as the Company Secretary of FM Operations India Pvt Ltd (FM India) and be responsible for delivering secretarial services to the FM India Board, ensuring adherence to Secretarial Standards regarding Board and General Meetings (SS1 & SS2). This aspect of the role typically requires the role holder to exercise judgment as to questions of governance and compliance. To manage and / or support as necessary the process for the establishment and licensing of new branches, subsidiaries or offices of FM globally. This requires knowledge and understanding of local corporate governance practices, FM’s business needs as well as the capability to manage and maintain relationships with external stakeholders including regulatory authorities. To ensure the accuracy and sound organization of and act as a central repository for corporate documents and records such as certificates, registrations, licenses, permissions and leases, as well as Board and any relevant committee meeting minutes. This will involve, as appropriate, attendance at relevant Board or committee meetings.Skill and Experience: 5 year of experience required to perform essential job functions Detailed knowledge of company law required. Excellent written and spoken English and strong IT software skills. Effective presentation skills. The ability to influence decision makers and regulatory authorities. Strong organizational skills essential. Ability to manage several projects at once. Familiarity with company accounts and financial reporting principles.
