Company : RPJ Holdings (P) Ltd(promoter of Pathways World School, Gurgaon) Job Title : Head of Legal and Corporate Affairs Location : Corporate Office on main MG Road, Sultanpur, New Delhi Reports To : CFO and Promoter DirectorsRequirement : We are seeking an experienced and strategic Head of Legal and Corporate Affairs to lead the Group’s legal, regulatory, company secretarial, and corporate governance functions. Company Secretary qualification and ICSI membership are mandatory. The role will serve as the principal legal and governance advisor to the Board, safeguarding the Group’s legal, regulatory, and reputational interests across all entities, including private companies, LLPs, trusts, and overseas subsidiaries. The position requires strong hands-on experience in government and regulatory liaison, regulatory approvals, contracts, dispute and litigation management, land title verification, and secretarial and statutory compliance responsibilities.Key Responsibilities : Regulatory Affairs and Liaison : Act as the primary point of contact and lead liaison between the organization and government bodies, regulatory authorities, local administration, and industry associations. Build and maintain effective working relationships with regulators and authorities to support smooth operations and strategic initiatives. Track, interpret, and proactively engage with public policy and regulatory developments impacting the organization. Ensure full compliance with all applicable laws, regulations, approvals, and industry standards. Represent the organization before government and regulatory authorities on matters affecting operations, expansion, and compliance. Contracts, Litigation and Dispute Management : Draft, review, negotiate, and manage commercial contracts and agreements, ensuring legal robustness and alignment with company policies. Lead and manage all litigation, arbitration, mediation, and legal proceedings involving the company across jurisdictions. Conduct and oversee land and property due diligence, title verification, and risk assessment for acquisitions, leases, and development projects. Identify and mitigate legal exposure relating to contracts, land and property matters, vendor agreements, regulatory matters, and employee disputes. Coordinate with external counsel and advisors, including briefing, strategy development, and cost management. Develop and implement legal risk mitigation frameworks and strategies. Custodian of Licenses and Policies : Act as custodian of all licences, permits, registrations, and statutory approvals, ensuring timely renewals and ongoing compliance. Establish systems to track regulatory obligations and maintain compliance calendars. Maintain, review, and update company policies and standard operating procedures (SOPs) across functions to ensure legal and regulatory alignment. Functions of a Company Secretary : Act as Company Secretary to the Board, ensuring robust corporate governance practices, statutory compliance, and timely MCA filings and statutory submissions for all group companies and LLPs. Ensure compliance with the Companies Act, securities regulations, and other applicable corporate laws, and establish compliance dashboards and reporting frameworks for periodic Board and promoter review. Maintain and safeguard all statutory registers and corporate records, including board and shareholder resolutions, agendas, minutes, and related documentation. Oversee corporate compliance across all group entities, including private family trusts, LLPs, and Indian and overseas subsidiaries. Liaise with auditors, regulators, advisors, and other external stakeholders on governance, compliance, and secretarial matters. Ensure timely completion, renewal, and updating of KYC and regulatory documentation with banks, financial institutions, mutual funds, depositories, NBFCs, and investment platforms. Key Qualifications : Education : Bachelor’s or Master’s degree in Law Company Secretary (CS) qualification Membership with the Institute of Company Secretaries of India Experience : Minimum of 10 years in legal, corporate affairs, and regulatory compliance, with at least 5 years in a leadership role Minimum 5 years of experience in Company Secretary role Strong exposure to government liaison, contract management, litigation, and corporate governance. Skills : Strong leadership and management skills In-depth knowledge of corporate law, including contracts, intellectual property, regulatory compliance, and dispute resolution. Proven ability to manage complex legal and regulatory issues. Strategic thinking with the ability to align legal strategies with overall business goals. Excellent PR, relationship management, communication, negotiation and crisis management skills. Personal Attributes : High level of integrity, ethics, and confidentiality. Strong interpersonal skills with the ability to engage effectively with stakeholders at all levels. Detail-oriented, especially when managing legal and compliance issues.
