Roles and Responsibilities Drafting, Reviewing, and Negotiating, cross border high value outsourcing legal contracts ( including not limited to MSAs/SOWs/WOs/POs/RFPs etc. ) for UK, Europe and Middle East jurisdiction. Drafting, Reviewing and Negotiating agreements with Partners/Reseller(s) globally ( including not limited to click wrap agreements, Reseller agreements, Teaming agreements, Service Provider Agreements, Software Licensing End User Agreements, MSSP Partnership agreements etc .). Drafting, Reviewing and Negotiating agreements with Vendors including but not limited to lease deeds, SAAS agreements, staffing, recruitment, marketing agreements, employee benefit related agreements etc. Advising the HR on employment related contractual issues (TUPE) and disputes in UK, Europe and Middle East jurisdiction Advising the Legal Team and the Management regarding - contractual rights, obligations as well as legal risks, legal solutions and business terms of various deals (specially the high value deals) and strategizing such deals with the Sales and Geo Heads for closure /sign off. Remain up to date on legal/regulatory updates affecting contracts and agreements – specially around the UK, Europe and Middle East geo. Clear understanding of different kinds of IT Services being offered by the Company including the technologies and the functioning/operations of the same to enable understand and evaluate the legal risks associated with it during contract lifecycle. Responsible for managing, advising, and strategizing independently, legal proceedings, dispute resolution process and supporting the Legal Head on the same- by partnering with appropriate law firms. Guiding the Legal Head on regulatory and legal issues to ensure compliance with applicable laws regulations including discussion around the implementation of control measures to avoid non-compliance such laws. Providing legal advice and legal support to Company Sales and Business unitsPre-requisites for the role LL.B./LL.M (preferred) from Premier Law School. Minimum of 10-12 years post qualification experience handling complex sales side contracts and partnership Contracts (preferred under IT Services for UK, Europe and Middle East jurisdiction). Flexible, well-organized and the ability to work in a fast-paced internet and technology driven environment. Good managerial skills to manage a team Excellent written and verbal communication skills. Excellent negotiation skills to negotiate and close contracts with global customer(s) and Partner(s). Excellent communication skills to interact with all internal(sales, delivery, finance, HR, Risk and Compliance etc. ) as well as external stakeholders on a day to day basis for contracts discussions and closure(s); Flexibility of working in global timings / odd hours and under pressure; Good team player and keen to learn and take initiatives.
