Our goal is to enable business growth through clear communication, professionalism, and effective legal strategies.Job description (About the Role) We are seeking a highly motivated and detail-oriented individual with both Legal & Secretarial background to join our team. This is a dual-responsibility role requiring a professional who is equally proficient in drafting and negotiating commercial contracts as they are in managing corporate secretarial compliances. The ideal candidate will have 2–5 years of relevant experience and will act as a key support pillar for the company’s legal and governance frameworks.Key Deliverables (What Will You Do)Legal, Drafting & Negotiation Contract Management : Draft, review, and negotiate a diverse range of commercial agreements, including Licensing Agreements, Service Agreements (MSAs, SOWs), Vendor/Procurement Agreements, and NDAs. Lifecycle Execution : Manage the end-to-end contract execution process, from initial drafting and internal approvals to final execution and archiving. Advisory : Provide day-to-day legal support to internal departments (Sales, HR, Finance, etc.), ensuring all business requirements align with company policies and legal standards. Standardization : Assist in creating and maintaining standard contract templates and playbooks to streamline recurring business transactions. Research : Conduct in-depth legal research on evolving commercial laws and regulations to provide actionable advice to stakeholders.Corporate Secretarial & Compliance Meetings & Documentation : Draft notices, agendas, resolutions, and minutes for Board Meetings, General Meetings, and various Committee Meetings in strict accordance with Secretarial Standards. Compliance Filings : Handle statutory filings with the Registrar of Companies (ROC), Reserve Bank of India (RBI), and other regulatory bodies. FEMA & FDI : Manage FEMA compliances related to Foreign Direct Investment (FDI) and other cross-border regulatory requirements. Audits & Due Diligence : Provide critical support for Secretarial, Statutory, and Internal Audits. Assist in legal and secretarial due diligence activities for corporate transactions. Statutory Records : Maintain and update Statutory Registers and ensure the company remains fully compliant with the Companies Act, 2013, and other applicable laws. Stakeholder Liaison : Coordinate with bankers, auditors, cross-functional teams, and the Registrar and Transfer Agent (RTA). Special Projects : Manage the company’s ESOP scheme and monitor Corporate Social Responsibility (CSR) activities.Job Specification (What Will You Need) Education: Qualified Company Secretary (ICSI) and L.L.B (Bachelor of Laws) from a recognized university. Experience: 2 to 5 years of post-qualification experience in a law firm or an in-house legal department.Technical Skills Legal Expertise: Strong knowledge of the Indian Contract Act, Companies Act 2013, and FEMA. Tools: Proficient in MS Office Suite (Word, Excel, PowerPoint, Outlook). Writing: Exceptional drafting skills for both legal contracts and secretarial documentation.Soft Skills & Competencies Self-Starter: Ability to work independently with minimal supervision while maintaining high productivity. Communication: Excellent verbal and written communication skills with the ability to explain complex legal concepts to non-legal stakeholders. Interpersonal Skills: Proven ability to coordinate effectively with internal teams and external professionals/regulators.
