Role DescriptionThe Company Secretary at Welspun One plays a pivotal role in ensuring that the organization operates within the legal and regulatory frameworks under the Companies Act and for AIF Category II entities.This position is responsible for managing statutory and regulatory filings as per Companies Act, 2013 and SEBI AIF Regulations, 2012 to ensure that all fund- and entity-level structures adhere to applicable laws and policies.The Company Secretary acts as a key interface with SEBI, investors, board members and auditors, supporting the company’s commitment to institutional-grade compliance and transparency.2. Key responsibilitiesGovernance & Board SupportOrganize Board, Investment Committee, meetings across fund and entity structures.Maintain statutory records and ensure accurate and timely MCA/ROC filings, board resolutions, shareholders resolutions etcEnsure structured governance across SPVs and development platforms.Support acquisition, investment and exit processes through due diligence and compliance checks.SEBI AIF & Regulatory ComplianceEnsure end-to-end compliance with SEBI (AIF/ Companies/LLP’s) Regulations , including reporting obligations, PPM updates, and financial disclosures.Coordinate with SEBI and other regulatory authorities for routine and event-based submissions.Track regulatory changes and update internal processes accordingly.Audit, Risk & Internal ControlsCoordinate internal audits, secretarial and regulatory audits across fund and group entities.Maintain governance policies under the AIF Regulation and Companies Act.Monitor compliance workflows and compliance tool.3. Educational Requirements and Work ExperienceEducation Requirements: Associate Company Secretary (ICSI) is mandatory; B. Com required. LLB preferred.Years of experience: Approx. 14 plus years post-qualification4. Work Experience RequirementsExperience working with Real Estate Developers is mandatory. Strong background in fund compliance, corporate law, and governance.Experience managing multi-entity structuring in real estate, private equity, or infrastructure environments.Expertise in drafting legal documents and overseeing regulatory submissions.5. Key Behavioral CapabilitiesIn-depth understanding of Regulations and Companies Act.High ethical standards and attention to detail.Strong communication skills for Board and LP interaction.Legal and regulatory drafting excellence.Ability to lead and develop high-performance compliance teams.Stakeholder Management and collaborative approachProficiency in digital platforms for compliance tracking and governance reporting.
