Job Description

The role holder will ensure compliance with the statutory requirements under Companies Act, FEMA and other corporate laws for the Group Entities, conduct planned activities to ensure zero compliance issues or lapses, proactive and transaction based advisory through sound research. Excellent English articulation is necessary.Role and responsibilities:pliance priorities:Ensure timely preparation of agendas and notices for Board and General Meetings in compliance with SS-1 and SS-2 standards.Minutes of Companies & Trusts: End-to-end management of minutes, from drafting and finalization to obtaining signatures and maintaining records in both physical and digital formatsDrafting of board resolutions and circular resolutionsIssuance of notices to Directors and conduct of Board and General Meetings, both physical and through video conferencingMaintenance and updating of statutory registers and records as required under the Companies Act, including filing of statutory formsPreparation, verification, certification, and filing of various forms and returns under the Companies Act, 2013Assistance in annual filings, including XBRL filing of accounts, and coordination during statutory and secretarial auditsCoordination with external consultants for matters before the NCLT, ROC, and High CourtProactive advisory support on good corporate governance practices, regulatory changes, exemptions, and amendmentsHandling RBI-related compliances such as FC-GPR, FC-TRS, and FLA, including coordination with Authorized Dealer (AD) banksCoordination with RTA and NSDL for execution of documents related to corporate actionsManagement of compliance requirements for Trusts and SocietiesPreparation of Board reports and documentation for pre-AGM and AGM processesEnsuring compliance with Secretarial Standards, statutory obligations, applicable laws, regulations, and new amendmentsCoordination with internal teams, consultants, and vendors2. Legal Concepts & DocumentationWorking knowledge of legal concepts and documentation, including Powers of Attorney (POA), indemnities, declarations, and related instruments, is desirable.3. Implement and improve administrative processes for efficient workflow by:Maintaining various MIS for assignments handled and ensuring proper custody of contractsMaintaining data and records in both physical and electronic formatsExperience and Qualification;Qualified Company Secretary 10-11 years’ experience in a Company Secretarial roleExperience in a Private Equity funded company is essentialFEMA compliance knowledge is a mustPreferred experience in DRHP filing and IPO compliance activitiesCompetenciesSound business communication.Knowledge of Company Law and other related LawsWell versed with legal terminologies & interpretation of laws.Computer proficient with MS-office
