On the funds side, we handle GP-side fund formation, LP-side representation, syndications, and securities compliance. On the corporate side, we advise clients on M&A transactions, venture financings, commercial agreements, and broad general counsel support (e.g., tax, IP and equity) — guiding companies from formation through growth to exit through all stages and matters.Our growing corporate team (based in the United States and Mexico) combines legal, financial, and operational expertise to deliver top-tier results with a culture built on precision, hospitality, and creativity.Role DescriptionThis is a full-time remote position for a Corporate Paralegal based in Mexico or the United States.This role requires someone detail-oriented, organized, independent and proactive. We are informal and collegial. We do not take ourselves too seriously, but we are serious about the quality of work and the standard of excellence we deliver.Your day-to-day responsibilities will include collaborating with attorneys and operations managers on the following:Assisting with formation documents, operating agreements, consent resolutions, and board minutes for portfolio companies and fund clients.Supporting venture financings and M&A transactions; in particular, managing data rooms, coordinating due diligence requests, and driving deals to close.Forming Delaware entities and maintaining corporate records, annual reports, and registered agent filings.Coordinating blue sky filings, Form D submissions, and other fund and securities compliance matters.Building closing checklists, signature pages, and post-closing bibles; tracking cap tables and equity issuances.Serving as a day-to-day client contact—fielding document requests, providing status updates, and keeping matters moving.Assisting with client onboarding, engagement letters, and conflict checks.Supporting billing, collections, and matter intake in Clio.Improving and maintaining workflows in Coda, Clio, and our internal automation stack.Conducting targeted legal research on corporate governance, securities exemptions, and state filing requirements.If you enjoy structure, problem-solving, and operational precision, this is an excellent opportunity to build and grow with a high-performance, ambitious international team.Qualifications2–5 years of experience as a corporate paralegal in a VC, tech, startup, or M&A environment.Fluent verbal and written English.Hands-on experience supporting due diligence, data rooms, and transaction closings. Strong Excel skills for cap tables, checklists, and tracking.Familiarity with cap tables, equity issuances, SAFEs, and convertible instruments.Comfortable in Clio, Google Workspace, Slack, and cloud-based document management.Law degree (U.S. or Mexico), or equivalent legal or legal-adjacent education.Proficiency with AI tools (ChatGPT, Claude, GC.AI) and desire to build automations.Self-starter who thrives in an async, remote environment across North American time zones.Meticulous attention to detail—you catch what others miss.BonusPrior law firm or legal ops experience, especially at a boutique or startup-focused practice.Exposure to Carta, Zapier, n8n, Gavel, or similar legal-tech and automation tools.Why Join Us?Fully remote: our team operates across North America, but we meet in person several times a year (the latest destinations were in Mexico City, Nashville, Cabo and Seattle).
