Role Overview We are seeking a highly experienced solicitor to join our Board of Directors as aNon-Executive Director (Legal) . This role is pivotal in guiding legal strategy around acquisitions, governance, and founder equity and vision protection. You will advise directly on protecting the founder’s personal and business assets, structuring dental practice deals (including DCOs and body corporate arrangements), and safeguarding the founder’s vision from dilution, derailment, or encroachment as the business scales and introduces external investors. You will also play a role in protecting the strategic alignment and interests of the broader board — ensuring collaboration remains high-functioning, respectful, and founder-led. This is not a passive title. We are seeking someone who will actively shape the legal scaffolding of the business, and who can do so with integrity, pace, and commercial maturity. All key structural and compensation details will be finalised in collaboration with the appointed legal advisor. Key ResponsibilitiesAdvise on company incorporation, capital structure, and shareholder agreements, with clear focus on protecting founder control and equity Lead legal due diligence for all practice acquisitions across the UK and Ireland Guide structuring of dental body corporates and DCOs, ensuring compliance and commercial viability Draft and review acquisition agreements, equity instruments, NDAs, warranties, and disclosure letters Ensure alignment with CQC, HIQA, NHS, GDC and other relevant compliance frameworks Proactively advise on protecting the founder’s assets, brand, and long-term ownership position Provide governance guidance to ensure founder authority is not undermined by future board or investor dynamics Support a healthy, aligned board dynamic where all directors’ contributions are protected and channelled constructively Liaise with external legal counsel where necessary but lead internal legal direction Participate actively in board meetings and strategic planning sessions Prevent any unauthorised person from modifying company documentation, rewriting themselves as a founder, or diluting founder ownership Assist in preparing LOIs, equity frameworks, and future-ready cap table and vesting structures Who We're Looking ForQualified solicitor (England & Wales and/or Ireland) Minimum 15 years PQE in corporate law, M&A, healthcare regulation Must have Top 10 law firm experience (mandatory) Deep experience in healthcare business acquisition and integration Proven ability to structure acquisitions that prioritise founder protection Strategic, commercial, and operational legal thinker Comfortable advising directly and decisively in fast-paced, founder-led environments Willing to work on a deferred compensation basis while aligning with long-term value creation Ready for a 5+ year commitment, through scale-up challenges, wins, pivots, and major moments — bring humour and resilience for the ride Cultural Fit & Red FlagsMust demonstrate integrity, emotional maturity, and deep respect for the founder’s leadership This role requires true partnership — not patronising oversight, subtle undermining, or attempts to diminish the founder’s authority, credibility, or capability Behaviour rooted in ego, insecurity, or personal agenda — regardless of gender — is disqualifying Fully aligned with the founder’s vision — not here to replicate it, redirect it, or co-opt it for personal gain Committed to safeguarding the founder’s strategic direction from dilution, derailment, or encroachment by other board members or future investors Contributes to protecting and upholding mutual respect across the boardroom, especially in founder-led environments where leadership can trigger power anxiety CompensationEquity stake in Quantum Medix Performance-based bonuses linked to acquisition milestones Additional InformationActive participation in quarterly board meetings and strategic sessions is required Engagement across UK mostly to start and Ireland later All legal, structural, and financial terms to be finalised in consultation with the appointed legal advisor Application Process To apply, send your CV and a brief cover letter to info@ Quantum Medix is an equal opportunity organisation.
