Who we are? Twin Path is a first cheque AI specialist investor backing visionary AI entrepreneurs who are building the next generation of transformative technologies. Twin Path is an emergent manager and to date has raised nearly £30m which it has invested into 27 early stage pre seed and seed stage startups in the UK. The team has ambitions to grow the fund further to establish its position within this exciting space. Role DescriptionThis is a part time, hybrid role for an In-house Counsel - VC, located in Central London. The In-house Counsel will be responsible for providing legal support and advice on venture capital transactions, drafting and reviewing contracts, participating in negotiations, ensuring regulatory compliance, and managing legal risks. The role involves working closely with the three founding partners, advising on legal aspects of investments, coordinating with external legal advisors, and staying updated on relevant laws and regulations affecting venture capital operations.Breakdown of Core Duties Venture Capital Deals: Twin Path works at a fast deal rate, with 12-15 deals a year in first cheques, never mind tops up and follow-ons. On live deals, we need the following:Co-lead with a partner on transaction using Twin Path's BVCA adapted template documents and playing a significant role in legal negotiations. Project management of transactions, including running pre-completion and post-completion checklists as well as managing transaction bibles.Handle university spin out processesHandle legal syndication and working with co-investors Conduct legal red flag diligence in accordance with our processesAdvising on corporate matters of portfolio including board governance, issues around investor majority consent, exercise of pro rata rights in follow on rounds and liquidation assistance.Fund LegalsAdvising on fund formation documents, subscription agreements and side letters.Advising on fund administration agreements, e.g. cash custody agreements. Advise on legal basis of capital call and distribution processes.Work with our regulatory consultant to ensure compliance with applicable funds lawOther / general things Reviewing of NDAs and assistance with data room setup Reviewing and advising on Twin Path Commercial Agreements (general office agreements, insurance contracts, etc.) Overall liaising of external counselMonitor regulatory changes that impact our business / template docs.Involvement in FCA compliance (e.g. help review investor materials to ensure they have proper disclaimer language and do not misrepresent fund performance etc.)Keeping on top of all deals and dealing with both startups, other investors, lawyers and other parties (e.g. universities)Perks of Twin Path 3 days per week, 1 day in the office (currently in the beautiful and highly accessible Clerkenwell (office has showers, bike storage facilities, a library, cafe, free fruit and coffee/tea)Regular social events like dinners and drinks in the local area (in particular Exmouth Market)Connection to a vibrant startup community Hands on experience in a close-knit, ambitious team who value independent thought20% bonusBe part a valued and core part of the journey of an emerging manager looking to become a big player in the AI spaceQualificationsEngland & Wales qualifiedMinimum 2 years PQE as a lawyer within a firm, with corporate ands fund experienceVC transactional experienceFund formation experienceAbility to work both independently and as part of a team in a fast-paced environmentAbility to manage legal risks and provide strategic legal adviceKnowledge of relevant laws and regulations affecting venture capital and fundsExcellent communication and interpersonal skills, with the ability to build and maintain strong client relationships.High level of professionalism, integrity, and ethical standards.Ability to work both independently and as part of a team in a fast-paced environment.
