About the team: Are you keen to join a well-established and respected Governance Team? If so, we are recruiting for a Head of PLC Governance to support the team through the next stage of their exciting transformation journey. We are looking for a qualified governance professional with regulated experience to assist with day-to-day governance, share administration, board support and management of critical transformation projects. What you will be doing: As the Head of PLC Governance, you will assist in the operation of the Group Governance Office function and will undertake deputising duties for the Group Head of Corporate Governance as and when required. This role leads the delivery and advisory element on good corporate governance and best practice, which is underpinned by a robust corporate governance framework. The role is hybrid with main base located in Chatham (Kent), requiring travel to other OSB offices (i.e. London) for meetings from time to time. Your responsibilities include: Lead the department's PLC governance workstream, and in collaboration with the Head of Statutory Compliance and Governance Reporting, responsible for delivering against all PLC requirements (including but not limited to the AGM, Annual Report, Board Effectiveness, shareholder circulars and other statutory requirements and regulatory obligations). Advise on compliance with the UK Corporate Governance Code, Listing, Prospectus Rules, Disclosure & Transparency Rules, Companies Act and Market Abuse Regulations, FSMA and Takeover Code. Identify new/proposed rules and guidelines in relation to governance and act as an SME to the business, providing advice in a governance capacity. Provide support to Board, Board Committee or Management Committee meetings - which would include preparing timely minutes, recording clear and accurate meeting decisions and pursuing follow-up actions, ensuring all relevant records are maintained and updated. Reviewing and responding to industry consultations impacting the effectiveness of OSB Group's governance practices. Driving the development and ongoing implementation of the OSB corporate governance framework, driving improvements to the design and robustness in accordance with business demands, legal requirements and regulatory obligations. Monitoring Board membership (including any Board changes) and succession planning activities, including supporting with any SMF applications relating to NEDs. Line-manage and coach nominated direct reports, including all aspects of performance management, development, conduct, sickness management, appraisals, employee administration and recruitment. We are looking for talented individuals who have the experience and knowledge set out below: Previous corporate governance experience (or comparable) working at a Senior Manager level within a corporate secretariat function within financial services. Strong stakeholder management skills in respect of senior Executives and Non-Executive Directors are fundamental. Robust understanding of UK company law, statutory requirements and financial services regulatory environment is vital. Previous line management experience is required. Qualified Governance Professional accredited by the Chartered Governance Institute, legal counsel or relevant professional qualification gained is essential.
