SummaryTransactional lawyer to provide advice and counsel to the range of business lines and products that comprise CA-CIB's global markets activities.Key ResponsibilitiesProvide transactional and legal advice with respect to global markets activities, with a particular emphasis on debt capital markets, securitization activities as well as the bank's note programs. Activities include drafting and reviewing underwriting and purchase agreements, private placement agreements, dealer agreements and engagement lettersCounsel and assist in negotiations with clients and other parties with respect to global markets activities in the United StatesProvide legal advice and memoranda on capital market and securities law questions and the impact of new legal developments on covered activities, including in support of CA-CIB's new activities and products approval processesAssist in the development of forms and template documents used by covered businessesEngage, coordinate, and supervise external counsel acting on behalf of CA-CIB in all relevant jurisdictions and on all relevant subject mattersPrepare and contribute to numerous internal reports and systems relating to the management of legal riskAssist in drafting internal governance texts, policies and procedures relating to the legal function and to covered businesses and productsStay current on market and legal developments affecting covered businesses and productsOrganize and participate in internal training targeted towards the front office, legal, compliance and other support functionsUphold CA-CIB's codes of ethics, culture and conduct in all matters, including with respect to matters of diversity and inclusion and the identification and escalation of financial crimes risks Key internal contactsFront Office and Support Functions (e.g. Risk, Compliance, Finance)Head of Global Markets Legal (Americas) and General Counsel AmericasKey external contactsExternal CounselIndustry associations Education New York qualified with J.D. and undergraduate degrees from highly regarded institutionsExperienceAt least 3 years' relevant experience in a nationally recognized law firm and/or global financial institution legal department covering sophisticated transactions Securities law backgroundFamiliarity with securitization structures (e.g. commercial paper conduits, special purpose vehicles) and asset backed productsKey Required CompetenciesAbility to prioritize effectively and manage a complex, time sensitive workloadAbility to work autonomously in a multi-jurisdiction legal departmentSound and ethical legal and commercial judgmentProfessional and convincing demeanor and interpersonal skillsCreative, solutions-oriented approach to complex legal and commercial issuesAbility to confront and escalate difficult issues within the institution Excellent English-language communication and presentation skills, both written and spokenExcellent legal knowledge and reasoning abilityAbility to distill complex legal guidance into plain English for a sophisticated business audienceKey Desired CompetenciesProject management skills or experience helpful but by no means essential or requiredFluency in French helpful but is by no means essential or requiredTechnology background and familiarity with current legal tech solutions would be an asset
