This role services a broad array of clients including technology startups, emerging growth companies as well as public firms. Candidates should have experience supporting IPOs from start to finish, be experienced and diligent in maintaining all corporate governance documents including minute books and closing binders for complex transactions. Experience with stock options, stock splits and cap table management software (e.g., eProsper, Carta, etc.) is essential.Responsibilities:Proficiency in client capitalization database (e.g., Carta, Shareworks, Pulley)Assist with management and maintenance of capitalization recordsAid in drafting and filing federal and blue sky securities filings and noticesSupport attorneys in the preparation of formation and initial financing documentsPreparation and maintenance of corporate recordsAssist in the preparation of closing documents and perform post-closing tasksQualifications:Bachelor's Degree, preferably in Business, Accounting, Finance, or related work experiencePrior experience with Carta, Shareworks, or other capitalization management softwareDemonstrate knowledge of capitalization fundamentalsAbility to read and interpret spreadsheets, plan documents and security-related agreementsUnderstanding of transaction types and securities law requirementsProficiency in Excel, including complex sorting/filtering of data, formulas and functions, pivot tables, analysis, and modelingBasic understanding of equity compensation accountingAbility to maintain the integrity of highly confidential informationECA designation or CEP certification is a plusInterested in hearing more?
