As a Principal Attorney at Honeywell Aerospace, you will advise on M&A and other strategic transactions in support of the company's growth and on issues pertaining to the company's global portfolio of subsidiaries, as well as other corporate legal matters. This role will be a key part of the corporate legal team within Honeywell Aerospace when it becomes a new, independent public company following its spin"‘out of Honeywell, expected in Q3 2026. You will report directly to the Vice President and General Counsel, M&A and Licensing. The position is based out of the company's offices in Phoenix, AZ or Arlington, VA on a hybrid work schedule. You will work closely with corporate development, human resources, finance, tax, controllership, and other specialists within the legal function to ensure proper execution of corporate transactions and a compliant and well"‘run portfolio of legal entities. Responsibilities Provide legal advice and guidance to the company on strategic transactions. Help draft and negotiate definitive transaction agreements, including purchase/sale agreements, escrow agreements, transition services agreements, joint venture agreements, strategic partnership agreements, and related documentation. Manage post"‘closing integration matters, indemnification disputes, and other issues arising out of strategic transactions. Liaise with stakeholders across the business to support a compliant and efficient legal entity management function. Identify and shepherd potential process improvements in transaction and legal entity functions. Other responsibilities as required. Qualifications Law degree from an accredited law school. 5+ years of legal experience, ideally gained through a combination of law firm and in"‘house experience at a global public company with relevant practice areas. License to practice law in at least one state within the U.S. Verifiable knowledge of corporate transactions and experience providing counsel on a variety of transaction types, with meaningful first"‘chair experience. Understanding of corporate governance issues applicable to a global portfolio of legal entities, including director and officer matters, corporate secretarial functions, and intercompany transactions.
