Description Key Responsibilities Corporate Compliance & Regulatory Management u2022 Serve as primary relationship manager with Computershare, our third-party corporate governance and compliance vendor u2022 Prepare and coordinate SEC filings, including Section 16 reports, proxy statements, Forms 8-K, and other required disclosures u2022 Monitor and ensure compliance with NYSE listing standards, SEC regulations, and other applicable requirements u2022 Implement governance best practices and stay current on evolving regulations and standards Board of Director and Officer Engagement u2022 Develop and maintain Board of Director Onboarding and Training Materials u2022 Coordinate annual Director & Officer Questionnaire process u2022 Prepare Board of Director annual assessment surveys and related materials u2022 Prepare related party transaction reports Documentation & Record Management u2022 Draft, review, and maintain corporate governance materials, including: o Annual director and officer consents o Corporate resolutions and certificates o Board and committee meeting agendas and minutes o Subsidiary governance documentation u2022 Provide oversight for the Global Entity Management System (GEMS) platform, ensuring accurate and up-to-date entity information u2022 Develop and maintain comprehensive governance documentation libraries Entity Management u2022 Oversee formation, maintenance, and dissolution processes for JLL legal entities globally u2022 Coordinate with local counsel and business units on entity-related matters u2022 Manage entity compliance calendars and ensure timely filings u2022 Prepare global consolidated entity and affiliate reports Policy Development & Implementation u2022 Support the drafting, review, and implementation of corporate policies and procedures u2022 Assist with policy communication and training initiatives u2022 Monitor policy compliance and recommend improvements Team Leadership & Stakeholder Management u2022 Manage and develop other corporate governance team members u2022 Respond to and address governance requests from global business and legal stakeholders u2022 Serve as a trusted advisor on corporate governance matters throughout the organization Qualifications Education & Experience u2022 Bachelor's degree and paralegal certificate required u2022 5-7 years of progressive experience in corporate governance or SEC compliance, preferably in a publicly-traded company u2022 Experience in a global organization preferred Technical Knowledge u2022 Strong working knowledge of EDGAR (including EDGAR Next) filing systems and Computershare Section 16 manager u2022 Comprehensive understanding of corporate law, securities regulations, and governance best practices u2022 Experience with board portal software (e.g., Diligent, BoardVantage) preferred u2022 Familiarity with global entity management systems Skills & Attributes u2022 Exceptional organizational skills and meticulous attention to detail u2022 Strong written and verbal communication abilities u2022 Advanced proficiency in Microsoft Office suite and legal research tools u2022 Excellent project management capabilities u2022 Ability to handle confidential information with the highest level of discretion u2022 Strong analytical and problem-solving skills u2022 Capacity to manage multiple priorities in a fast-paced environment u2022 Collaborative team player with the ability to work independently Requirements Estate Planning, Corporate Legal Management System, Calendar Management, Calendar - Docket, Probate Law, Annual Proxy Statement, Government Programs, Corporate Governance Robert Half is the worldu2019s first and largest specialized talent solutions firm that connects highly qualified job seekers to opportunities at great companies.
