Advising for issuers and underwriters on debt issuances across public and private markets in the U.S., Europe. Advising private equity funds, real estate investment funds, and private credit funds in a broad range of fund finance facilities, including subscription-secured credit facilities, NAV-based credit facilities, hybrid facilities, and co-investment facilities. Advising sponsors and corporate borrowers on cash flow, recurring revenue, and asset-based debt financings including cross-border debt financings spanning the U.S., and Europe. Advising private equity funds and alternative capital sources, including mezzanine funds, and private debt funds on the structuring and documentation of private credit transactions. Advising on debt at different levels of the capital structure including senior loans and unitranche facilities through to mezzanine and second lien debt. Advising clients on topical issues that arise in debt finance transactions including liability management issues and other related topical issues. Must have a JD degree from an ABA-approved law school or foreign equivalent. Must be licensed to practice law and a member in good standing in the state of New York. Must be licensed to practice law and a member in good standing, with the Solicitors Regulation Authority of England and Wales. Must have 7 years of experience as an Associate at a law firm, advising clients on cross-border debt financing.
