That’s what it means to live The Gallagher Way. How you'll make an impactWe are seeking a highly motivated and detail-orientedCorporate Paralegalto join the Assistant Corporate Secretary’s team. The team includes 4 attorneys covering different legal areas and 3 subsidiary governance professionals. The ideal candidate will play a key role in supporting securities offerings and disclosures, corporate governance, M&A, executive compensation, employee benefits and Board and executive materials preparation. This position offers an excellent opportunity to work in a dynamic and fast-paced environment, contributing to the success of key legal areas of the company.Key Responsibilities:Support international M&A transactions that involve the acquisition of new legal entities: work with internal legal team and external law firms to gather relevant information and complete the company’s “new entity checklist.”Support 10-Q and 10-K information gathering process.Draft transfer agent letters authorizing share issuances and keep track of shares issued for M&A.Maintain and update SEC filing codes; track and manage the payment of SEC filing fees.Assist corporate governance lawyers with Annual Shareholder Meeting, including preparation of materials and logistics.Assist with the preparation of the annual Proxy Statement and related materials.Support annual directors’ and officers’ questionnaire process.Track Board and Committee member meeting attendance and directors' and officers' ages.Assist in researching Board members’ backgrounds and work experiences.Support the administration of the Insider Trading Policy.Support benefits lawyer with plan amendments and other benefit plan communications.Work with accounting department to support quarterly related person transactions cross-checks.Support shareholder engagement program - maintain records of meetings and shareholder feedback.General Team Support:Explore and experiment with Gallagher’s AI tools and brainstorm applications for the team.Serve as team’s liaison to marketing/communications for brand guidelines; serve as clearinghouse for team’s Board and executive presentations and enforce consistent approach and “look and feel.”Provide oversight of team’s executive assistant support in India Gallagher Center of Excellence.Oversee team’s compliance with Gallagher’s records retention policy.Manage team resources and subscriptions, including billing.Support annual budgeting process.Maintain team’s secured folders and keep shared electronic workspaces updated and organized.Support special projects and initiatives as needed. About YouAssociate's degree, paralegal certificate and minimum of 3 years’ experience in a legal environment.Familiarity with securities laws and corporate governance principles a plus.Experience with corporate record-keeping.Technical Skills:Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and project management or automation tools such as Power BI.Attention to Detail:Strong organizational skills with the ability to manage multiple tasks and meet munication:Excellent written and verbal communication skills.Teamwork:Ability to work collaboratively with different legal areas and cross-functional teams.
