Description We are looking for an experienced Associate Attorney to join our client's remote / hybrid boutique law firm specializing in commercial real estate finance. This role focuses on Delaware entity opinions and substantive nonconsolidation opinions for complex financing transactions. With a collaborative team and a strong niche practice, this position offers significant growth potential and a dynamic work environment. Responsibilities: u2022 Draft Delaware entity opinions and substantive non-consolidation opinions for commercial real estate finance transactions. u2022 Review and prepare organizational documents related to entity formation and transaction structuring. u2022 Apply bankruptcy-remote entity criteria in accordance with industry standards. u2022 Manage a high-volume transaction pipeline while ensuring accuracy and timeliness in deliverables. u2022 Collaborate with attorneys across offices to meet client expectations and deliver quality work. u2022 Provide guidance on complex legal matters related to Delaware statutes and real estate finance. u2022 Participate in client meetings and discussions to address transaction-specific legal requirements. u2022 Maintain up-to-date knowledge of industry trends and legal developments impacting commercial real estate finance. u2022 Ensure compliance with all applicable laws and regulations in Delaware and other jurisdictions as needed. Requirements u2022 Juris Doctor degree from an accredited law school. u2022 Active Delaware Bar admission strongly preferred; additional admissions in other states are beneficial. u2022 Minimum of 3 years of experience in commercial real estate finance or a related practice area. u2022 Expertise in drafting Delaware opinions and nonconsolidation opinions is highly desirable. u2022 Familiarity with bankruptcy-remote entity structuring and related analyses. u2022 Strong background in managing high-volume transactions while maintaining attention to detail. u2022 Excellent communication and collaboration skills for client interaction and teamwork. u2022 Ability to work effectively in both remote and occasional in-office settings.
