Represent major global clients and private equity funds in connection with mergers, acquisitions, divestitures, preferred equity investments, co-invests and GP / manager stake transactions. Serve as lead counsel with primary responsibility for day-to-day advice and regular communication with corporate clients, including advice in connection with various transactions and other general corporate matters. Negotiate terms of and draft transactional documents, including: stock/asset purchase agreements, merger agreements, stockholder / operating agreements, and disclosure schedules and regulatory filings. Supervise senior, mid-level and junior associates in managing closings and coordinating due diligence reviews. Provide general advice to ongoing corporate clients on matters including corporate governance, U.S. securities laws compliance, equity issuances and restructurings. Develop strategic plans for M&A business unit, including identifying key client prospects, setting growth / expansion targets and engaging in multiple forms of business development and marketing. Mentor senior, mid-level and junior associates. Requirements:J.D., LL.M., or foreign equivalent and seven (7) years of experience in the position offered or as an Associate or Counsel at an international law firm with an annual revenue in excess of $400 million.All of the required experience must have included experience with: working on mergers and acquisitions and private equity transactions; preparing and reviewing share and asset purchase agreements, shareholder agreements, joint venture agreements, and board resolutions; managing complex legal transactions with multi-party representation and negotiated terms on behalf of clients; and directly advising corporate clients on applicable laws and regulations related to corporate governance, and regulatory compliance as they apply to business transactions.Must be admitted to New York State Bar.
