Responsibilities: u2022 Provide legal counsel on business formation, transaction structuring, and compliance with relevant regulations. u2022 Draft, review, and negotiate contracts, shareholder agreements, and other legal documents. u2022 Assist clients in mergers and acquisitions, securities offerings, and private placements. u2022 Collaborate with estate planning professionals on succession planning matters. u2022 Conduct analysis of debt structures and advise on banking and credit facilities. u2022 Develop practical solutions to complex legal challenges for clients in various industries. u2022 Represent clients at local, national, and international levels in business-related matters. u2022 Ensure compliance with corporate governance standards and regulatory requirements. u2022 Support clients in the development of equity incentive plans and other financial agreements. u2022 Stay updated on legal trends and apply insights to improve client outcomes. Requirements u2022 Juris Doctor (JD) degree with active membership in the state bar. u2022 Minimum of 5 years of experience practicing business law, ideally within a law firm. u2022 Strong expertise in entity formation, mergers and acquisitions, and corporate contracts. u2022 Excellent drafting, negotiation, and communication skills. u2022 Proven ability to manage complex legal transactions and deliver results in a fast-paced environment. u2022 Familiarity with securities offerings, private placements, and succession planning is highly desirable. u2022 Demonstrated ability to work collaboratively with multidisciplinary teams. u2022 Commitment to providing client-focused and cost-effective legal solutions.
