Description We are looking for an experienced (15+ yrs) Senior Counsel to play a pivotal role in shaping fund and investment structures within an on-site dynamic, entrepreneurial environment. This long-term contract position offers the opportunity to work closely with the Founder and leadership team, contributing to high-impact initiatives in fund formation and investment management. Ideal candidates will thrive in a fast-paced setting, leveraging their legal expertise to drive innovative solutions. Responsibilities: u2022 Draft, review, and negotiate a variety of transactional and governance documents. u2022 Develop and execute legal strategies for fund formation and investment structuring. u2022 Provide expert guidance on complex financial products, including tax-advantaged investment vehicles. u2022 Collaborate closely with the Founder, internal teams, external counsel, and board members to align on legal and business objectives. u2022 Support the structuring and negotiation of renewable energy or infrastructure-related investments, if applicable. u2022 Ensure adherence to securities, tax, and regulatory compliance standards. u2022 Offer strategic advice on mergers and acquisitions, pre-IPO, and IPO processes as needed. u2022 Facilitate seamless communication and decision-making across executive and legal stakeholders. u2022 Monitor and address potential legal risks in evolving business contexts. Requirements u2022 Licensed US-based Attorney with strong knowledge of corporate law and contract negotiations. u2022 At least 15 years of legal experience, with a focus on transactional law or contract management. u2022 Demonstrated proven expertise in fund formation, investment management, or structured finance. u2022 Proficiency in handling financial products and tax-advantaged investments. u2022 Familiarity with renewable energy, infrastructure, or similar asset classes is highly preferred. u2022 Exceptional ability to operate in a fast-paced, growth-oriented environment. u2022 Strong communication skills and the ability to work collaboratively across senior leadership. u2022 Proven experience in mergers and acquisitions, pre-IPO, and IPO processes.
