Description We are looking for an experienced Attorney/Lawyer to join our team in Baltimore, Maryland. This role offers the opportunity to work on both banking and finance transactions as well as litigation matters, providing comprehensive legal support in a dynamic and fast-paced environment. The ideal candidate will bring expertise in commercial lending, loan workouts, and litigation processes, along with a commitment to delivering exceptional legal counsel. Responsibilities: u2022 Represent lenders, borrowers, and financial institutions in complex commercial lending transactions and loan restructuring efforts. u2022 Draft, review, and negotiate various legal documents, including loan agreements, security instruments, and credit facility contracts. u2022 Conduct in-depth due diligence by examining corporate records, title searches, and lien documentation. u2022 Facilitate the structuring and closing of financing deals while ensuring regulatory compliance. u2022 Stay informed on federal and state banking regulations to ensure adherence during transactions. u2022 Handle all stages of litigation, including drafting pleadings, managing discovery, and preparing motions for disputes involving insurance coverage, construction, and commercial matters. u2022 Conduct thorough legal research to draft memoranda, briefs, and other litigation-related documents. u2022 Manage document review processes, prepare for depositions, and develop strategic approaches for cases. u2022 Represent clients during court appearances, hearings, mediations, and arbitration sessions. u2022 Collaborate with clients and team members to create effective litigation strategies tailored to each case. Requirements u2022 Juris Doctor (J.D.) degree from an accredited law school. u2022 Active license to practice law in Maryland. u2022 Some experience in commercial lending and loan workout transactions preferred u2022 Demonstrated expertise in litigation processes, including discovery, motion practice, and trial preparation. u2022 Exceptional legal research and writing skills. u2022 Ability to manage multiple cases and deadlines efficiently. u2022 Strong interpersonal and communication skills for client and team collaboration.
